Acceptance of Terms

By accessing or using VALA services, applications, APIs, browser technologies, voice features, or related platforms (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

Description of Services

VALA is an AI-powered platform operated by Eleva Platform Ltd that provides:

• Conversational AI chat services
• Voice interaction capabilities ("Talk") — hands-free, continuous voice conversation with VALA
• Browser-based AI assistance
• Memory and personalization systems
• Subscription and credit-based access tiers
• Enterprise and API access for businesses
• Related AI tools, integrations, and features

Services are provided "as is" and may be modified, updated, or discontinued at any time with reasonable notice.

Eligibility

VALA is not intended for use by children under 18. We do not knowingly collect data from users under 18. If we discover a user is under 18, their account will be terminated and data deleted.

Accounts and Registration

To access VALA Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Not share your account with others
• Not create multiple accounts to circumvent restrictions

We reserve the right to suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.

Subscriptions and Credits

Subscription Plans

VALA offers subscription plans (Starter, Plus, Pro, Power) billed monthly or annually. Subscriptions automatically renew unless cancelled before the renewal date.

Credits

Credits are consumed when using AI services. Each plan includes a monthly credit allowance. Additional credits may be purchased separately. Credits are non-transferable and expire according to plan terms.

Billing

Payments are processed by Stripe. By subscribing, you authorize recurring charges to your payment method. All fees are exclusive of applicable taxes.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods unless required by applicable law.

AI Services and Outputs

VALA uses AI systems to generate responses, suggestions, summaries, code, and other content. You acknowledge that:

• AI outputs may be inaccurate, incomplete, or outdated
• AI outputs do not constitute professional, legal, medical, or financial advice
• You are responsible for verifying AI outputs before relying on them
• VALA does not guarantee the accuracy, reliability, or fitness of AI outputs
• AI behavior may change as models are updated

Voice Features ("Talk")

VALA's Talk feature enables continuous, hands-free voice conversation with the AI. When using Talk:

• Your voice is converted to text (speech-to-text) for processing
• VALA's response is converted from text to audio (text-to-speech) for playback
• Voice audio is processed in real time and is not stored or retained
• Transcribed text may be retained as part of your conversation history per our Privacy Policy
• You consent to voice processing when using this feature

Do not use Talk in environments where recording or processing voice may be restricted or where third-party consent is required.

AI Training and Model Improvement

By default, VALA may use your conversations and interactions to improve AI models, safety systems, and platform performance. This setting is enabled by default and can be disabled at any time in your account settings.

When training is disabled, your conversations will not be used for model training. De-identified or aggregated data may still be used for platform analytics and safety research regardless of this setting.

Enterprise and API Access

VALA offers enterprise workspace access and API services for businesses and developers. Enterprise and API use is subject to separate Commercial Terms and API Terms in addition to these Terms.

API keys must be kept confidential. You are responsible for all use of your API keys. Unauthorized use or abuse of API access may result in immediate termination.

Your Content

You retain ownership of content you submit to VALA ("Your Content"). By submitting content, you grant Eleva Platform Ltd a limited, worldwide, royalty-free license to use, process, and store Your Content solely to provide and improve the Services.

You represent that Your Content does not violate any third-party rights, applicable laws, or these Terms. You are solely responsible for Your Content.

Prohibited Use

You may not use VALA Services to:

• Generate illegal, harmful, abusive, threatening, or harassing content
• Violate any applicable laws or regulations
• Infringe intellectual property rights
• Generate spam, malware, or deceptive content
• Attempt to reverse-engineer or extract model weights
• Circumvent safety measures, filters, or rate limits
• Impersonate other individuals or organizations
• Use the service for unauthorized data scraping
• Facilitate child exploitation or abuse
• Generate weapons instructions or facilitate violence
• Undermine democratic processes or spread coordinated disinformation

Violation of prohibited use policies may result in immediate account termination and, where applicable, referral to law enforcement.

Intellectual Property

VALA, its logos, software, models, systems, and related materials are the intellectual property of Eleva Platform Ltd and its licensors. Nothing in these Terms grants you ownership of VALA intellectual property.

AI-generated outputs are provided to you for personal and commercial use, subject to these Terms. You may not claim exclusive intellectual property rights over AI-generated outputs to the extent prohibited by applicable law.

Privacy

Your use of VALA is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using VALA, you consent to our data practices as described in the Privacy Policy.

Termination

You may terminate your account at any time by contacting us or using account deletion in Settings. We may suspend or terminate your account at any time for violation of these Terms, applicable laws, or if we determine your use poses risk to users or the platform.

Upon termination, your data will be retained for 30 days in secure backup systems before permanent deletion, unless a shorter period is required by law.

Disclaimers

VALA Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that Services will be uninterrupted, error-free, secure, or free of harmful components. AI outputs are not guaranteed to be accurate, complete, or reliable.

Limitation of Liability

To the maximum extent permitted by applicable law, Eleva Platform Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of VALA Services.

Our total liability to you for any claims arising from these Terms or your use of VALA shall not exceed the amount you paid to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Eleva Platform Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of VALA, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable consumer protection laws in your jurisdiction.

Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email or in-product notice. Continued use of VALA after changes become effective constitutes acceptance of the updated Terms.
